1. These General Terms and Conditions of Sale govern all purchase orders issued by the Client. By dating, stamping, and signing the order form, the Client confirms having reviewed and fully accepted these Conditions.
2. Delivery timelines set forth in sales proposals by TM Industries S.r.l. Società Unipersonale commence on the date of order confirmation and are strictly indicative. Timelines may be extended due to force majeure events beyond the reasonable control of TM Industries S.r.l. Società Unipersonale, which undertakes to notify the Client promptly.
3. Unless explicitly agreed otherwise, risk of loss or damage to goods passes to the Client upon dispatch. All prices are quoted net of VAT and Ex Works (Incoterms 2010). Shipping charges are calculated based on distance, weight, and volume.
4. Goods shall be deemed accepted and compliant unless a written claim or objection is raised within 30 days of receipt. A production quantity tolerance of +/- 10% per ordered item is accepted by the Client. Final quantities and exact billing amounts will be formally communicated prior to dispatch and invoice issuance.
5. Sales proposals remain valid for 30 calendar days from the date of issuance.
6. Delayed payments shall incur interest calculated at the official discount rate plus a 3% surcharge.
7. Payments must be executed directly to our head office; payments made to third parties are invalid unless supported by a written power of attorney. Unless formally agreed otherwise, a 70% deposit is required upon order acceptance, with the remaining balance due prior to scheduled shipment. If payment of the balance is delayed by more than 5 days past the scheduled dispatch date, TM Industries S.r.l. Società Unipersonale reserves the right to apply a daily storage fee of €50.00 (plus VAT) until shipment. Order amendments requested after formal acceptance will not be accepted.
8. The Client shall return the signed, dated, and stamped proposal to TM Industries S.r.l. Società Unipersonale via email or fax within the stated validity period. TM Industries S.r.l. Società Unipersonale will issue an order confirmation within 8 days, at which point the contract becomes binding. Should no confirmation be issued within 8 days, the order shall be considered tacitly accepted. Production lead times exceeding 40 working days from order acceptance will be duly communicated.
9. For any controversy or litigation, the Court of Vicenza shall have exclusive jurisdiction.
The Client explicitly acknowledges and approves clauses 4, 5, 6, 7, 8, and 9.
Please review your administrative and fiscal details and inform us immediately of any discrepancies. Otherwise, details listed on the order confirmation shall be deemed accurate, releasing us from any liability or statutory penalty.
